THE AGREEMENT
The Purchaser of services of The Place to Shop Local LLC., affirms that it has evaluated the risks and can protect its interest. The Purchaser acknowledges that the sale of services and proprietary information, related to the products offered at www.theplacetoshoplocal.com belongs to The Place to Shop Local LLC., and that company is engaged in other business endeavors (individually, and collectively, the “BUSINESS”).
PARTIES
The client acknowledges The Place to Shop Local LLC., to implement web design services for his/her company. This agreement may be modified at any time by The Place to Shop Local LLC.
This Intellectual Property, Project, and, Design Services Agreement (hereinafter referred to as the “Agreement”) is entered into on ________________ (the “Effective Date”), by and between ________________________, with an address of ________________ (hereinafter referred to as the “Owner”), and ________________, with an address of ________________ (hereinafter referred to as the “User”) (collectively referred to as the “Parties”).
DATES
The start date of the project is __________, __, 20___ (date) The target conveyance of www.areallygreatsite.com, for an e-commerce website, WordPress-themed site, c-panel, and/or website builder. Your Company Name is a registered company in the state of _______________, the project will be delivered on ____________, __, 20___ (delivery date). *All intellectual property contained on the website will remain in The Place to Shop Local LLC., possession until the expiration of this agreement and/or, __________, __, 20__ (delivery date), or earlier deemed appropriate by The Place to Shop Local LLC.
NOTICE TO THE BUYER/USER: Do not agree to this contract/terms before you read it. You are entitled to print a copy for your records, receipt and the signature of The Place to Shop Local LLC., are considered valid once the payment invoice is issued/received.
The User is required to retain a copy for its record. The mailbox rule shall apply, the subject of this Agreement is substantially delivered by electronic means via www.theplacetoshoplocal.com and electronic mail.
THE PROJECT
The project shall include the upload of products, and all User provided content for all e-commerce websites, WordPress-themed sites, c-panel, and/or website builders or consulting services.
PROJECT SCHEDULE
The Place to Shop Local LLC., and the User must work together to complete the project promptly. Much of this depends on receiving the appropriate content from the User. The Place to Shop Local LLC., agrees to work diligently to complete these projects in a professional and timely fashion. No projects will be accepted if the duration of completion last more than one (1) calendar year.
PAYMENTS
Payments for social media, web hosting, domain name hosting, email marketing, SEO, Security, and email can be found at www.theplacetoshoplocal.com, and herein, considered payment. If acceptable and offered The Place to Shop Local LLC., will create an addendum for additional web hosting services, consulting on domain name hosting, rates per hour, social media marketing, email marketing, assistant services, etc. if not mentioned below in Service, Social Media, and Maintenance.
The total amount of the web design service is $______________ .00 (your selection) and the deposit is due immediately. The Place to Shop Local LLC., reserves the right to allow for extended payment arrangements at its sole discretion, assessment, and determination. On the commencement of the first payment initiated, and thereafter being invoiced, and/or received by The Place to Shop Local LLC., it is agreed that the User hereby agrees (s) to the terms of this agreement. All electronic conveyance and, by direct use of the User at www.theplacetoshoplocal.com, the User is considered in agreement with these terms regardless of wet or electronic signature by User or The Place to Shop Local, LLC.
The Place to Shop Local LLC., does not endorse any microfinance program or working capital for local business owners and their lending needs but provides the referral to all customers. The Place to Shop Local LLC., does not accept any referral fees from any vendors, and only makes additional commissions on credit card processing with e-commerce websites as outlined below. The Place to Shop Local LLC., does not accept gifts, as payment for services.
NON-AFFILIATED BUSINESS DISCLOSURE
The Place to Shop Local LLC. is a freelance artisan firm that has a working relationship with GoDaddy, and all terms of www.account.theplacetoshoplocal.com apply. Officers of The Place to Shop Local, LLC. receive revenue for such services provided. GoDaddy offers credit card processing for e-commerce websites. Officers of The Place to Shop Local, LLC., receive revenue from other sources with who they are not affiliated. The Place to Shop Local, LLC., is not owned or operated by GoDaddy. The Officers of The Place to Shop Local, LLC. may work with other service providers and may receive revenue from other sources such as competing payment processing firms, software, and app integration, among other revenue sources.
DEPOSIT
The deposit shall be as follows, for a basic website builder business plus a themed 3–5-page site the deposit shall be $500.00. For a standard website builder online store-themed website, no more than 10 pages, the deposit shall be, $1,000.00. For a basic WordPress-themed website of 5-10 pages, the deposit shall be, $2,500.00. For a WordPress e-commerce-themed website, no more than 25 pages, the deposit shall be $5,000.00. For a WordPress Pro e-commerce solution over 25 pages, the deposit shall be $10,000.00.
Payments will be made via The Place to Shop Local, LLC. every week of $________.00, or through www.account.theplacetoshoplocal.com for all customized websites, invoiced on Sunday of every week/or monthly by The Place to Shop Local LLC., The User may elect to pay the full balance upfront, in place of a deposit on their project by contacting The Place to Shop Local LLC. All themes sold “on-sale” do not require a deposit, and the full amount is due upfront and shall be paid at www.theplacetoshoplocal.com. Deposits on email marketing, SEO, website security, SSL, Managed SSL Service, Website Backup, cPanel, Plesk, WordPress, Web Hosting Plus, VPS, Dedicated Server, Website Builder Hosting, WordPress Hosting, Domain Registration, Bulk Registration, Domain Transfer, Bulk Transfer, Domain Backorder apply, as these purchases/payments are made directly at www.theplacetoshoplocale.com and are billed automatically on the term and/or monthly basis. User controls all payments for their service at www.theplacetoshoplocal.com via their own designated account which is assigned to them with a customer number, and PIN. The Place to Shop Local LLC., is not liable for any billing issues and/or losses of the User. The User may contact The Place to Shop Local LLC., for any disputes arising out of the term and/or monthly fees. The Place to Shop Local LLC., encourages the User to visit their account often to ensure all information is correct. This is especially important concerning lost domains for expiration and invalid credit cards on file.
OPTIONAL BUYOUT CLAUSE
In the case of emergency, and only at the full discretion and approval of The Place to Shop Local LLC., and before the completion date of a project with a $10,000 deposit or more, or the WordPress Pro e-commerce solution a User may excuse themselves from the obligations of this contract for by paying 10% of the remaining portion of the total amount due, and a $5,000.00 transfer fee to The Place to Shop Local LLC. The Biz e-commerce shall be $2,500 plus a deposit, the Business Basic shall be $1,750 plus a deposit, and Wholesale does not apply. The User understands that the site will be delivered AS-IS, mid-project, and therefore The Place to Shop Local LLC., will make no warranties on the functionality or future use of the website. The Place to Shop Local LLC., will make every effort to ensure that the website solution is delivered to the User promptly no more than 30 days after receipt of the above payment, and separation. The Place to Shop Local LLC. shall perform no future work on the site, and no tech support will be provided by GoDaddy on behalf of The Place to Shop Local LLC.
Z CLAUSE
The parties acknowledge that during the negotiation that resulted in this Agreement, each had the unlimited right and opportunity to make demands and proposals concerning any subject or matter not removed by law from the area of collective bargaining and that the understandings and agreements arrived at by the parties after the exercise of that right and opportunity are outlined in this Agreement.
PENALTY CLAUSE
In the case of The Place to Shop Local LLC., delay with the work handover with the deadline pursuant hereto, The Place to Shop Local LLC., agrees to a User imposed a penalty of $150.00 per day to which The Place to Shop Local LLC., shall reduce the final payment. If the User breaches or fails to make payment The Place to Shop Local LLC., shall impose the same fee of $150.00 per day.
MERCHANT ACCOUNTS
As technology advances companies like Affirm, and PayPal offer credit terms to online shoppers. Credit card processors like Square have 3rd party app integration. The User is responsible for establishing such accounts, The Place to Shop Local, LLC. may from time to time, offer assistance, but isn’t liable financially or legally arising out of a dispute. The Place to Shop Local LLC. does not require the User to use preferred accounts and encourages the User to research multiple payment gateways for e-commerce solutions. The User may elect to use GoDaddy payments or other merchant payment processors. The Place to Shop Local LLC. encourages Users to get a total of (3) bids for services before utilizing any referred merchant account services provided by The Place to Shop Local LLC., for their credit card processing needs.
CROSS BROWSER COMPATIBILITY & VALIDATION
The User’s website will be built using HTML, CSS, & PHP, cleanly coded and documented, and will display correctly and identically in all modern browsers. Also, all efforts will be taken to ensure that the User’s website passes the WC3’s (World Wide Web Consortium) standards for HTML and CSS coding.
SERVICES
Services include web design, development, assistance with selecting web hosting, domain selection, web graphic design, logo design, content for pages and blogs, SEO, webpage analytics, video creation, custom landing pages for marketing, consulting services, technical support with GoDaddy at The Place to Shop Local LLC., technical support and payment support. The Place to Shop Local LLC., does not endorse Hootsuite, Inc., nor collect a referral fee, but refers them for social media management.
SOCIAL MEDIA
The Place to Shop Local LLC., does offer social media content, and management at an additional $500.00 per month, on a month-to-month term. The Place to Shop Local LLC., shall create six (6) quality posts, that are relevant to the user’s promotions, or products. The User shall create and manage their business pages and establish and pay for their user impressions. The fee(s) do not include boosting. The Place to Shop Local LLC., requires that the User use Hootsuite, Inc. and provide The Place to Shop Local LLC., login details for management.
HOSTING PROVIDER & DOMAIN PROVIDER
The Place to Shop Local LLC., shall provide User hosting through www.account.theplacetoshoplocal.com, The Place to Shop will consult the User about what type of hosting is most appropriate for the size of the User’s website. The User shall register, manage their settings notification preferences, payment preferences, agree to the terms of use/privacy policy and manage their domains. This is considered a critical component of this agreement.
DOMAIN BROKER FEES
The Place to Shop Local LLC., will act as a “Broker” through GoDaddy at $70.00 for the User to purchase competitive domains. The Place to Shop Local LLC., with work with the domain owner, trying to get you the lowest possible price. If the domain owner agrees to sell the User will pay the negotiated price lump sum plus a 20% commission.
MAINTENANCE AGREEMENTS
The Place to Shop Local LLC., shall provide hosting maintenance on the website, as long as the User is utilizing the reseller hosting services GoDaddy, at www.theplacetoshoplocal.com. The Place to Shop Local LLC., and current on their monthly fee(s). The Place to Shop Local LLC., will review the plugin updates in WordPress-themed websites and update accordingly. The Place to Shop Local LLC., will apply any updates from WordPress, GoDaddy, and any third-party vendor. The Place to Shop Local LLC., with GoDaddy charges a $50.00 technical fee, each time the User calls in for technical assistance. When the User calls GoDaddy, the tech team will identify themselves as team members of The Place to Shop Local LLC. The Place to Shop Local LLC., charges $150.00 per hour for any changes to moderate any graphic design. The Place to Shop Local LLC., charges $75.00 per hour for any additional plugins User requests. The Place to Shop Local LLC., charges $160.00 per day for project management.
WARRANTY OF SERVICES
The Place to Shop Local LLC., assures that services offered will be of excellent, superior, and first-rate quality. If the User isn’t satisfied with the projected work, the User agrees to notify The Place to Shop Local LLC., in writing. The service warranty is limited, and only last for 60 days after the final payment has been made. The Place to Shop Local LLC., will fix any critical errors on the website during that timeframe.
SERVICE DELIVERY
The Place to Shop Local LLC., shall deliver the completed project to the User through www.theplacetoshoplocal.com after reviewing the project, the User has 48 hours to make report any minor changes. During the duration of the project, the User will be shown a mock of the project, called milestones throughout the term of a project. Therefore, no major changes will be accepted at delivery.
BREACH OF CONTRACT
Except as otherwise stipulated herein, if any Party fails to fully perform or suspend the performance of its obligations under this Agreement and fails to correct such breach within Thirty (30) days from the date of receipt of a notice from the other Party. If any Party hereto breaches this Agreement or any of its representations and warranties under this Agreement, the non-breaching Party may notify in writing the breaching Party of correcting such breach within Ten (10) days from the date of receipt of a notice, taking appropriate measures to effectively and promptly avoid any damage and continuing to perform this Agreement. If any damage occurs, the breaching Party shall make compensation to the non-breaching Party so that the non-breaching Party can obtain all rights and interests that should have been obtained by it in the case of the performance of this Agreement. In the case that the User is in breach, The Place to Shop Local LLC., shall separate the domain associated to any project and supply the User with a basic template website until a resolution is made. In the case that User is in breach, The Place to Shop Local LLC shall terminate project work indefinitely, without resolution in it’s sole discretion. The Place to Shop Local LLC., reserves the right to terminate project work indefinitely for any reason.
LICENSING OF INTELLECTUAL PROPERTY
The Licensing Agreement
At the final payment of the project, The Place to Shop Local LLC., outlines the following,
The Place to Shop Local LLC., owns the (“Authored Work”), following this Agreement, The Place to Shop Local LLC., grants _______________, (User) an exclusive license to use the Authored work. This License provides the limited right to reproduce, publicly display and distribute Authored Work, only for the agreed-upon terms outlined in this Agreement. The Authored Work used for any purpose not directly related to these terms must be with the express written permission of the Licensor, The Place to Shop Local LLC., and may include the payment of additional fees unless otherwise agreed to in writing.
Licensees may use the Authored Work however they see fit, as long as their use is otherwise within the bounds of this Agreement.
The Place to Shop Local LLC., retains title and ownership of the Authored Work and derivative works will be assigned to Licensor, by Licensee.
This grant of the license only applies to the following geographical area: The United States.
Modifications
The Licensee may freely make modifications to the Authored Work without any prior approval from The Place to Shop Local LLC.
Default: If the ______________ (User) Licensee fails to abide by any obligation of this Agreement, including the obligations to make payments when due The Place to Shop Local LLC., Licensor shall have the option to cancel this Agreement by providing 30 days written notice to the ____________ (User) Licensee.
The _____________ (User) Licensee shall have the option of preventing the termination of this Agreement by taking corrective action that cures the default if such corrective action is taken before the end of the period stated above and if there are no other defaults during such period.
Confidential Information
The term “Confidential Information” refers to any information or materials that are proprietary to the Licensor, whether owned or developed by the Licensor, and which the Licensee may obtain through any direct or indirect contact with the Licensor or the Authored Works.
Regardless of whether specifically identified as confidential or proprietary, Confidential Information shall include any information provided by the Licensor concerning the business, technology, and information of the Licensor and any third party with which the Licensor deals, including, without limitation, business records and plans, trade secrets, technical data, product ideas, contracts, financial information, pricing structure, discounts, computer programs and listings, source code, object code, copyrights, and intellectual property, inventions, sales leads, strategic alliances, partners, and clients list. The nature of the information and the manner of the disclosure is such that a reasonable person would understand it to be confidential.
_____________ (User), understands and acknowledges that the Confidential Information has been developed or obtained by The Place to Shop Local LLC., Licensor by the investment of significant time, effort, and expense and that the Confidential Information is a valuable, special, and unique asset of The Place to Shop Local LLC., which provides a significant competitive advantage, and needs to be protected from improper disclosure.
In consideration for the receipt by The Place to Shop Local LLC., of any Confidential Information, _____________ (User), agrees as follows:
No Disclosure: ___________ (User), will hold the Confidential Information in confidence and will not disclose the Confidential Information to any person or entity without the prior written consent of The Place to Shop Local LLC.
No Copying or Modifying: ____________ (User), will not copy or modify any Confidential Information without the prior written consent of The Place to Shop Local LLC.
Application to Employees: ____________ (User), will not disclose any Confidential Information to any employees of ___________ (User), except those employees who are required to have the Confidential Information to perform their job duties in connection with the limited purposes of this Agreement. Each permitted employee to whom Confidential Information is disclosed shall sign a non-disclosure agreement substantially the same as this Agreement at the request of The Place to Shop Local LLC.
Non-Exclusive License of Licensor
As of the effective date, The Place to Shop Local LLC, grants back to ____________ (User), a non-exclusive royalty-free license to use the Authored Work as the ____________, (User), sees fit, for the creation of derivative works.
This license back is only granted when the license shall not limit The Place to Shop Local LLC., rights, and public rights under this License.
Warranties
Neither Party makes any warranties concerning the use, sale, or other transfer of the Authored Work by the other Party or by any third party, and the User accepts the product “AS IS”.
In no event will The Place to Shop Local LLC., be responsible for direct, indirect, special, incidental, or consequential damages that are in any way related to the User’s use of the Authored Work.
Transfer of Rights
This Agreement shall be binding on any successors of the Parties.
Neither Party shall have the right to assign its interests in this Agreement to any other Party unless the prior written consent of the other Party is obtained by The Place to Shop Local LLC.
MEDIA RELEASE
User affirms that any media provided by User, that User has a one-sided agreement that allows the User the rights to someone else’s personal intellectual property and holds The Place to Shop Local LLC., harmless. At the request of the owner of intellectual property, The Place to Shop Local LLC., shall immediately remove and resolve any/all intellectual property delivered to The Place to Shop Local LLC., that the User has no legal license to use.
OWNERSHIP RIGHTS
All work/property created by The Place to Shop Local LLC., belong to The Place to Shop Local LLC. This agreement is unequivocally not under the rules of the “Work for Hire” doctrine. The Place to Shop Local LLC., specifically rejects a “Work for Hire” status of any kind. Users will never be entitled to claim any rights as an employer under any circumstances for any project. Unless otherwise specified in this Agreement, The Place to Shop Local LLC., (or our third-party licensors) owns exclusively all Intellectual Rights in material to include ALL designs, creations, modifications, supply, or license to the User, even if it was created or modified for or suggested by the User.
All right, title, and interest in the Service and the Site, including technology and trade secrets embodied therein and any Content or developments created or provided in connection with or related to the Service and the Site, including all copyrights, patents, trade secrets, trade dress, and other proprietary rights, and any derivative works thereof, shall belong solely and exclusively to The Place to Shop Local, LLC., or its licensors, and you shall have no rights whatsoever in any of the foregoing. You acknowledge that the Service constitutes a valuable trade secret and/or is the confidential information of The Place to Shop Local LLC., or its licensors. Nothing in this Agreement or otherwise will be deemed to grant to you an ownership interest in the Service, in whole or in part. All Content and materials included as part of the Service, such as text, graphics, logos, button icons, images, audio clips, information, data, forms, photographs, graphs, videos, typefaces, graphics, music, sounds, and other material, and software (the “Works”) are the property of The Place to Shop Local LLC., or its content suppliers and is protected by copyrights, trademarks, trade secrets, or other proprietary rights and these rights are valid and protected in all forms, media and technologies existing now or hereinafter developed. All Works are copyrighted as individual works and as a collective work under the U.S. copyright laws (17 U.S.C. Section 101, et. seq.) and international treaty provisions, and The Place to Shop Local LLC., owns a copyright in the selection, coordination, arrangement and enhancement thereof. You may not modify, remove, delete, augment, add to, publish, transmit, adapt, translate, participate in the transfer or sale of, create derivative works from, or in any way exploit any of the Works, in whole or in part. Any use other than as contemplated herein, including the reproduction, modification, distribution, transmission, adaptations, translation, republication, display, or performance, of the Works, except as specifically permitted herein, is strictly prohibited. You understand and acknowledge that unauthorized disclosure, use or copying of the proprietary products and services provided pursuant to this Agreement may cause The Place to Shop Local LLC., and its licensors irreparable injury, which may not be remedied at law, and you agree that The Place to Shop Local LLC., and its licensors’ remedies for breach of this Agreement may be in equity by way of injunctive or other equitable relief.
COPYRIGHT AND TRADEMARKS
The User is strictly prohibited to register any Copyright of The Place to Shop Local LLC. property, without direct consent in writing and notarized by The Place to Shop Local LLC. No Copyright Assignment shall apply to any kind of work provided by The Place to Shop Local LLC., per the Copyright Act of 1976.
The Place to Shop Local LLC., owns all proprietary rights in and to the copyrightable and/or copyrighted works described in this agreement. The copyrighted works will collectively be referred to as “Work”, and The Place to Shop Local LLC., retains all common law copyrights and all federal copyrights which have been, or which may be, granted by the Library of Congress.
The User unconditionally agrees that any elements including all text, ideas, graphics, photos, designs, trademarks, or other artwork furnished by The Place to Shop Local LLC., for inclusion in the Web Design Project, are owned by The Place to Shop Local LLC., and will be vested/conveyed to User on the project end date, and after full payment is received. This agreement is protected for the benefit of The Place to Shop Local LLC., Title 17 of the United States Code, including all amendments enacted by Congress through October 17, 2022. It includes the Copyright Act of 1976 and all subsequent amendments to copyright law; the Semiconductor Chip Protection Act of 1984, as amended; the Vessel Hull Design Protection Act, as amended, and the Artistic Recognition for Talented Students Act, signed into law in October 2022. The User and The Place to Shop Local LLC., are not joint co-owners of the copyright in the work.
MORAL RIGHTS
The Agreement affirms that The Place to Shop Local LLC., holds moral rights in the Property and as such, has the full right to seek action to protect its reputation and good name if the Property is defamed or altered without permission and to invoke all remedies and legal actions. The Place to Shop Local LLC., can seek monetary awards, demand the User to hand over infringing material, and seek injunctions. If payment is not made on time, The Place to Shop Local LLC., reserves the right to charge any extra fees and remove/alter hosting services from the domain.
DESIGN CREDIT
User agrees that The Place to Shop Local LLC., may put a by-line on the bottom of their home page or web pages establishing design and development credit. The User agrees that the website builder/themed website created for the User may be included in The Place to Shop Loca LLC., portfolio.
CONFIDENTIALITY
The project or the services indicated in this contract are considered strictly confidential. The information about the web design services provided should not be revealed by either party without written consent from both parties.
TERM/TERMINATION
The effectivity date of these terms will start on the date of deposit or payment until the project is complete not lasting more than (1) calendar year. Any amended contract, document, or offer regardless if written or oral that isn’t addressed to The Place To Shop Local, LLC. in writing by purchasers within 72hrs of delivery is considered void. Any amended contract, document, or offer regardless if written or oral that is outstanding, expired, and/or voided and isn’t amended directly by The Place to Shop Local, LLC., in writing is considered unenforceable. All amended documents must be signed within 72 hrs of payment if any amendments are applicable. These Terms & Use are effective as reflected by the last revision date listed above.
In the event of termination of this contract, all projects and materials will be retained by The Place to Shop Local LLC. This includes mockups, frameworks, artworks, codes, repositories, emails, login credentials, purchased software, hardware, and services. Non-refunds are permissible.
MODEL RELEASE FORM
The User will execute a Model Release Form, if professional photography is used as it relates to the use of personal media and images utilized for an artistic or commercial endeavor, by and between the User and model. Model Release Form must include a clause that the model is legally competent, and of legal age. User shall supply The Place to Shop Local LLC., the release form upon request.
MINOR
No minor or emancipated minor shall execute this Agreement. The User agrees to submit a valid ID for verification purposes, at the request of The Place to Shop Local LLC.
ARBITRATION
Any disputes more than $1,000 (or the maximum limit for small claims court in the proper jurisdiction) arising out of this Agreement shall be submitted to binding arbitration before the Joint Ethics Committee or a mutually agreed upon Arbitrator suitor under the rules of the American Arbitration Association. The Arbitrator’s award shall be final, and judgment may be entered in any court having jurisdiction thereof. The User shall pay all arbitration and court costs, reasonable attorney’s fees, and legal interest on any award or judgment in favor of The Place to Shop Local LLC.
CANCELLATION POLICY
If work is postponed or canceled at the request of the User, The Place to Shop Local LLC., retains the right to keep the initial, non-refundable deposit, and plus seek the remaining balance due.
If the User fails to abide by the obligations of this Agreement, including the obligations to make a payment when due, The Place to Shop Local LLC., shall have the option to cancel this Agreement. The Place to Shop Local LLC., shall have the option of taking corrective action to cure the default to prevent the termination of this Agreement if said corrective action is enacted before the end of the project. If the User’s company is assigned during the project period The Place to Shop Local LLC., in its sole discretion may elect to allow a third party to complete the terms of this Agreement or treat it as in full effect.
INDEMNIFICATION
The User agrees to hold The Place to Shop Local LLC., harmless from all demands, liabilities, losses, costs, and claims. Including reasonable attorney’s fees associated with the project.
WARRANTIES
In no event will The Place to Shop Local LLC., be liable for direct, indirect, special, incidental, or consequential damages that are in any way related to the project.
AMENDMENTS
This contract can only be changed, amended, or modified by The Place to Shop Local LLC.
ENTIRE AGREEMENT

CHOICE OF LAW AND VENUE SELECTION
This contract shall be governed under the intellectual property & breach of contract laws of the US, and the state of Arizona. The following will apply,
This Agreement is entered into the State of Arizona and shall be governed by the laws of the State of Arizona without regard to conflict of laws principles. The parties agree that any proceeding or action that might be initiated to enforce or interpret the terms of the Agreement will be brought only in Phoenix Arizona, and that Arizona law or, if applicable, federal law will apply in such proceedings. Any action or proceeding seeking to enforce any provision of, or based upon any right arising out of, this Agreement or the business between the Parties, may be brought only in the state or federal court of the State of Arizona, and each Party consents to the exclusive jurisdiction or venue in such courts. Process in any action referred to in the preceding sentence may be served upon a party anywhere in the United States of America.
The Participant and each party to this Agreement agree that it will bring all claims, causes of action, and proceedings (whether in contract, in tort, at law, or otherwise) that may be based upon, arising out of, or be related to the Project and this Agreement exclusively in the Arizona Court. In the event (but only in the event) that such court does not have subject matter jurisdiction over such claim, cause of action, or proceeding, exclusively in the United States District Court for the District of Arizona, (the “Chosen Court”), and hereby (i) irrevocably submits to the exclusive jurisdiction of the Chosen Court, (ii) waives any objection to laying venue in any such proceedings in the Chosen Court, (iii) waives any objection that the Chosen Court is an inconvenient forum or does not have jurisdiction over any party and (iv) agrees that service of process upon such party in any such claim or cause of action will be effective if notice is given in accordance with this Agreement.
The Place to Shop Local is a registered Trademark and LLC. in the state of Arizona & a Foreign LLC., in Colorado.
